Welcome to Swiftpod! These Terms & Conditions ("Terms") govern your use of our website (swiftpod.io) and our technical services, including but not limited to CRM solutions, email management, Podio consulting & architecture, and custom development and automation services for Podio ("Services"). By using our website or Services, you agree to abide by these Terms. If you do not agree, please do not use our Services.

1. Acceptance of Terms

By accessing or using Swiftpod's Services, you acknowledge that you have read, understood, and agreed to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

2. Services Provided

Swiftpod offers technical consulting and development services, including but not limited to:

  • CRM implementation and management
  • Email automation and integrations
  • Podio consulting, architecture, and custom development
  • Custom workflow automation
  • Other related technical services

3. User Responsibilities

You agree to:

  • Provide accurate and up-to-date information
  • Use our Services only for lawful purposes
  • Maintain the security of your account credentials

Swiftpod reserves the right to terminate accounts engaged in fraudulent or unauthorized activities.

4. Payments & Billing

All payments for Services must be made in accordance with the agreed pricing and payment terms.

We may use third-party payment processors to facilitate transactions.

Failure to pay may result in suspension or termination of Services.

5. Refund Policy

Due to the nature of our technical and consulting services, all sales are final. However, if you experience an issue, please contact us at hello@swiftpod.io to discuss potential resolutions.

6. Intellectual Property

All content, software, and materials provided by Swiftpod remain our intellectual property.

Custom solutions developed for clients may be subject to ownership terms outlined in individual agreements.

7. Limitation of Liability

Swiftpod shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our Services.

8. Privacy Policy

Our Privacy Policy explains how we handle your personal data.

9. Third-Party Services

Our Services may integrate with third-party platforms (e.g., Podio). We are not responsible for any issues arising from these third-party services.

10. Termination Policy

Swiftpod reserves the right to terminate or suspend access to the Services at our sole discretion, with or without notice, if you violate these Terms or engage in conduct deemed harmful. Customers may also terminate their services by providing written notice. Refunds will not be issued for terminated services.

11. Dispute Resolution

Any disputes arising from these Terms shall first be attempted to be resolved through informal negotiation. If unresolved, disputes shall be settled through binding arbitration. Both parties waive the right to a jury trial or class-action lawsuit.

12. Service Level Agreements (SLA)

Swiftpod aims to maintain optimal uptime and service performance. However, we do not guarantee uninterrupted service. Any downtime, maintenance, or technical issues will be addressed promptly, and clients will be notified accordingly.

13. Indemnification

You agree to indemnify and hold Swiftpod harmless from any claims, losses, liabilities, damages, or expenses (including legal fees) arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.

14. Data Protection & Security

Swiftpod takes data security seriously. We implement industry-standard security measures to protect your data. However, we cannot guarantee absolute security, and you acknowledge that you use our Services at your own risk.

15. Compliance with U.S. Laws

Swiftpod complies with all applicable federal, state, and local laws in the United States, including data protection laws, export control laws, and consumer protection regulations. Customers agree not to use Swiftpod Services in any manner that violates applicable laws and regulations.

16. Export Control & Sanctions Compliance

You acknowledge that Swiftpod's Services may be subject to U.S. export control and economic sanctions laws. You agree to comply with all applicable export control and sanctions laws and regulations and not to provide Swiftpod Services to any restricted entities or individuals.

17. Force Majeure

Swiftpod shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, strikes, supply chain disruptions, or government regulations.

18. Modifications to Terms

Swiftpod reserves the right to update these Terms at any time. Changes will be posted on our website, and continued use of our Services constitutes acceptance of the revised Terms.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law principles.
